Welcome to Memento Studio. By downloading, installing, or using our desktop application (“Memento Studio” or the “App”), or by purchasing a Pro license, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App or our services.

1. Description of Service

Memento Studio is a desktop database client for macOS that connects to PostgreSQL databases. The App allows you to browse, query, and edit data in databases you control. We offer a free tier and a paid “Pro” tier with additional features and update entitlements. The App runs on your device; we do not host or store your database data.

2. License and Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Memento Studio for your personal or internal business use. You may not reverse-engineer, decompile, or attempt to extract source code from the App, nor sublicense or resell it. Pro license keys are issued per purchaser and are subject to the terms shown at the time of purchase (e.g., machine limits, update entitlement period).

3. Your Data and Connections

You are responsible for the databases you connect to and the data you access or modify through the App. Connection details and credentials are stored locally on your device. We do not access, store, or process your database contents. You must ensure your use of the App complies with applicable laws and any agreements you have with third parties (e.g., your employer or hosting provider).

4. Payments and Refunds

Pro licenses are purchased through our payment provider (Stripe). Prices and payment terms are shown on our website and at checkout. Unless otherwise stated, fees are one-time. Refund requests are handled in line with our refund policy; contact us at support@mementostudio.app for assistance.

5. Updates and Availability

We may release updates to the App. Pro licenses may include a defined period of entitlement to updates; after that period, you may continue to use the version you have. We do not guarantee uninterrupted availability of the App, our website, or license/activation services.

6. Disclaimer of Warranties

The App and related services are provided “as is.” We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the App will be error-free or that it will meet your specific requirements. You use the App at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, we (and our affiliates, directors, employees, and suppliers) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business opportunities, arising from your use of the App or these Terms. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred dollars (100 USD), whichever is greater.

8. Termination

You may stop using the App at any time. We may suspend or terminate your access to the App or license services if you breach these Terms. Upon termination, your right to use the App ceases; provisions that by their nature should survive (including disclaimers and limitations of liability) will remain in effect.

9. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the App after changes constitutes acceptance of the revised Terms. Material changes may be communicated via the App or by email where appropriate.

10. General

These Terms constitute the entire agreement between you and us regarding the App. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles.
